Billing Terms & Conditions
These terms apply to all invoices, payments, and subscriptions issued by TAB Austin (The Alternative Board, Austin, Texas).
1. Scope
These terms govern every invoice, payment link, one-time charge, and recurring subscription issued by TAB Austin. By submitting payment against an invoice, the client accepts these terms in full. Where a separate written engagement agreement exists between the client and TAB Austin, that agreement controls to the extent of any conflict.
2. Payment and processing
All card payments are processed by Stripe, Inc. TAB Austin does not collect, store, or have access to full card numbers or security codes. Amounts are stated and charged in U.S. dollars unless the invoice states otherwise. The client is responsible for any bank, currency conversion, or card issuer fees.
Invoices are due on the date stated on the invoice. Unpaid balances may result in suspension of services until payment is received.
3. Recurring billing
Monthly subscriptions bill automatically on the anniversary of the first successful payment and continue until canceled. Cancellation stops future charges; it does not retroactively refund charges already processed. To cancel, contact TAB Austin at the address below and allow up to five business days before the next billing date.
4. Refunds
Payments are final and non-refundable unless a refund is agreed in writing by TAB Austin. This includes sponsorships, event fees, membership dues, retainers, and advisory fees, whether or not the client attends, participates in, or uses the services purchased.
5. Limitation of liability
To the maximum extent permitted by law, TAB Austin's total aggregate liability arising out of or relating to any invoice, payment, service, event, or advisory engagement is limited to the amount actually paid by the client under the invoice giving rise to the claim.
TAB Austin is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunity, loss of data, or business interruption, even if advised of the possibility of such damages.
6. Release
The client releases and holds harmless TAB Austin, The Alternative Board, and their respective owners, facilitators, board members, employees, contractors, sponsors, and venue hosts from any and all claims, demands, damages, costs, and expenses arising out of or connected with the services, events, peer advisory sessions, introductions, referrals, materials, or guidance provided.
Peer advisory discussions, board member input, and facilitator guidance reflect the opinions of the individuals expressing them. They are not legal, tax, accounting, financial, or investment advice, and the client is solely responsible for decisions made in reliance on them.
7. No warranty
All services are provided on an "as is" and "as available" basis. TAB Austin makes no warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. TAB Austin does not guarantee any specific business result, revenue outcome, growth rate, or return on investment.
8. Confidentiality
Information shared within peer advisory board meetings is confidential among participants. The client agrees not to disclose another member's confidential business information outside the board.
9. Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Venue for any dispute lies in Travis County, Texas.
10. Changes
TAB Austin may update these terms from time to time. The version published at the time an invoice is paid governs that payment.
